Welcome to the Scanlily family of apps and web systems! These Terms of Use ("Terms") govern your access to and use of the Scanlily and ShelfLily mobile applications and websites (collectively, the "Services" or "Our Services"). By registering for an account and using our Services, you agree to be bound by these Terms. Please read them carefully.
Acceptable Use
You agree to use our Services in compliance with all applicable laws and regulations. You may not use our Services for any unlawful or fraudulent purposes or to infringe on the rights of others.
Intellectual Property
All Scanlily-produced content and features and functionality of our Services are the exclusive property of Scanlily and are protected by copyright, trademark, and other intellectual property laws. Your content is exclusively your own. Scanlily expressly does not claim rights to any user-provided content.
Limitation of Liability
To the maximum extent permitted by law, Scanlily shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or in connection with your use of our Services.
Changes to Terms
We reserve the right to modify these Terms at any time with the exception of Intellectual Property (#3 above). Your continued use of our Services after any changes to the Terms constitutes your acceptance of the updated Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States.
Use of Cookies
Our subscription website uses cookies to provide essential functionality and enhance your user experience. Cookies are small data files that are stored on your device when you visit our website. These cookies enable us to remember your preferences, authenticate your login, and ensure the proper functioning of various features on our website.
By using our Services, including our subscription website, you acknowledge and agree to our use of cookies as described in this clause. User-Generated Content
Our Services allow users to upload, create, and share content, including descriptions, photos, comments, and other information related to their physical assets ("User-Generated Content" or "UGC"). Users are solely responsible for the UGC they create and share through our Services.
By uploading or creating UGC, users represent and warrant that they have the necessary rights and permissions to do so and that the UGC does not infringe on the rights of any third party, including intellectual property rights, privacy rights, or any other legal or moral rights.
Users acknowledge that they may choose to make certain UGC "public" by using the QR stickers and associated URLs provided by Scanlily. Users are responsible for determining the appropriate privacy settings for their UGC and for sharing passcodes, if applicable, with authorized individuals.
Scanlily does not endorse, support, or guarantee the accuracy, reliability, or appropriateness of any UGC. We reserve the right, but are not obligated, to review, monitor, edit, or remove any UGC that we determine, in our sole discretion, violates these Terms of Use or is otherwise objectionable.
Prohibited Conduct
Users agree not to use our Services for any unlawful, fraudulent, or malicious purposes. Users are prohibited from engaging in any conduct that violates the rights of others, including but not limited to, intellectual property rights, privacy rights, or other legal rights.
Users are prohibited from uploading, creating, or sharing any UGC that: a. Is defamatory, obscene, pornographic, harassing, threatening, abusive, or otherwise objectionable. b. Promotes or incites violence, discrimination, hatred, or bigotry. c. Contains false, misleading, or deceptive information. d. Violates any applicable laws or regulations.
Users may not use our Services to impersonate any person or entity, or to misrepresent their affiliation with any person or entity.
Users are prohibited from attempting to gain unauthorized access to our Services, interfere with the normal operation of our Services, or disrupt the experience of other users.
Users may not use our Services for any purpose other than the intended purpose of tracking and managing physical assets.
Scanlily reserves the right to take appropriate action, including but not limited to, terminating or suspending user accounts, removing UGC, or pursuing legal remedies, in response to any violations of these Prohibited Conduct terms.
Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services, including all content, features, and functionality provided through Scanlily, are provided "as is" and "as available," without warranty of any kind, either express or implied. Scanlily disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Scanlily does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of the Services or any user-generated content. Your use of the Services and any content or materials made available through the Services is at your own risk, and you are solely responsible for any damage or loss that results from such use.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
Termination
Scanlily reserves the right, in its sole discretion, to terminate or suspend your access to and use of the Services, including your account, at any time and for any reason, including but not limited to the following:
a. Violation of these Terms of Use or any other policies or guidelines established by Scanlily.
b. Conduct that is unlawful, fraudulent, or otherwise harmful to Scanlily, other users, or third parties.
c. Uploading, creating, or sharing content that violates the rights of others, including intellectual property rights, privacy rights, or other legal rights.
d. Use of the Services for purposes other than the intended purpose of tracking and managing physical assets.
e. Any other conduct or activity that Scanlily deems, in its sole discretion, to be detrimental to the operation, reputation, or integrity of the Services.
Upon termination or suspension, your right to access and use the Services will immediately cease, and Scanlily may, in its sole discretion, delete any content or information associated with your account.
You may also terminate your account and discontinue your use of the Services at any time by contacting Scanlily customer support.
The provisions of these Terms of Use that by their nature should survive termination or suspension, including but not limited to disclaimers, limitations of liability, and intellectual property rights, shall continue to apply even after termination or suspension.
Auto-Renewable Subscriptions
No subscription will ever be required for the Free versions of any of Our Services. The ShelfLily app only has a free version. However, the Scanlily app also offers auto-renewable paid subscriptions to provide you with uninterrupted access to our premium features ("Pro Version"). By subscribing, you agree to the following terms:
- Subscription Period: Subscriptions are billed on a monthly basis and will auto-renew at the end of each subscription period unless canceled.
- Payment: Payment will be charged to your Apple ID account at the confirmation of purchase.
- Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
- Cancellation: You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase. Please note that deleting the app does not cancel your subscriptions.
- Changes to Subscription Terms: We reserve the right to modify the subscription terms and pricing. Any changes will be communicated to you in advance and will apply on the next subscription cycle.
- Refunds: Subscription fees are non-refundable, except as required by law.

Free Business Trial
The ShelfLily app only has a free version. However, Scanlily Business plans include a 14-day free trial that allows you to experience the Business feature set at no cost. The trial is started from the Scanlily User Website.
Scope of Trial: During the trial period, you will have access to the features of the Business plan you selected. The specific features included in Business plans are subject to change and are determined at the discretion of Scanlily.
Payment and Conversion: Starting a trial on our website requires a valid credit card. Unless you cancel before the end of the trial period, your paid subscription will begin automatically when the trial ends and your card will be charged. You can cancel anytime before the trial ends from the My Plan page on the User Website and you will not be charged. We will send you a reminder 3 days before your trial ends.
End of Trial: If your trial ends without a paid subscription, your account will move back to the Free plan. Your data is not deleted, but Business features are paused and additional users are suspended until you subscribe to a Business plan.
Trial Availability: The free trial is available only once per account. Subsequent registrations will not be eligible for another free trial period unless granted at the sole discretion of Scanlily.

Connected Marketplace Accounts
Some Scanlily plans allow you to connect third-party marketplace accounts (for example, eBay or Etsy) to Our Services. Connections are made through the marketplace's own secure authorization (OAuth) process — Scanlily never sees or stores your marketplace password — and you may disconnect a marketplace at any time from the User Website.
When you connect a marketplace account, Scanlily accesses only the data needed to provide the features you use, such as creating and updating your listings and importing your own sales to keep your inventory accurate. Marketplace data is used solely to provide these services to you; we do not sell it, share it with third parties, or use it for advertising. Authorization tokens are stored encrypted, and you may request deletion of imported marketplace data at any time, as described in our Privacy Policy.
You are responsible for ensuring that your use of any connected marketplace complies with that marketplace's own terms, policies, and listing requirements, and that you have the right to sell the items you list. All marketplace transactions are completed on the marketplace itself; Scanlily does not process marketplace payments. Scanlily may decline to publish listings that do not meet a marketplace's requirements.
Third-party marketplace names are trademarks of their respective owners. Scanlily's marketplace integrations use each marketplace's official API and are not endorsed or certified by the marketplace operators. The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.
